Cooley advised Dynavax Technologies Corporation (Nasdaq: DVAX), a commercial-stage biopharmaceutical company developing and commercializing innovative vaccines, on its successful proxy contest against Deep Track Capital.

Cooley advised Tetra Tech, a leading global provider of consulting and engineering services that focuses on water, environment, sustainable infrastructure, renewable energy and international development, on its Rule 144A offering of $575 million aggregate principal amount of 2.25% convertible senior notes due 2028, which includes the full exercise of the initial purchasers’ option to purchase an additional $75 million aggregate principal amount of notes. Partners John-Paul Motley, Mischi a Marca, Jason Savich, Ellie Guadiana and Logan Tiari led the Cooley team advising Tetra Tech.

Cooley advised TPB Acquisition Corporation I, a special purpose acquisition company sponsored by The Production Board, in its business combination agreement that will result in Lavoro Limited, a leading agricultural inputs retailer in Latin America, becoming a US publicly listed company with an implied initial enterprise value of approximately $1.2 billion.

Cooley advised World View, a leader in stratospheric exploration and flight, on its definitive business combination agreement with publicly traded special purpose acquisition company Leo Holdings Corp. II. The transaction will result in World View becoming a publicly listed company. Partners Alex Kassai, Milson Yu and Miguel Vega led the Cooley team advising World View.
